Terms of Use

Agreement. These Terms of Use ("Terms") are a contract between you and The Universe Ministry (the ministry behind Club DAO), a religious organisation registered in the United States (EIN 87-1704844), referred to here as "the Ministry", "we", "us" or "Orbit", operator of the Orbit product. How Orbit is run during beta. Orbit currently operates as a community service of the Ministry. It is not run for profit while under the Ministry: any revenue is reinvested into building and operating the service, and its primary purpose is to serve projects within Club DAO and the Ministry's community. This may change if a separate entity is established in future, in which case we will update these Terms.
Beta service. Orbit is in active beta and provided "as is" and "as available". It may change, be interrupted, or lose data. Do not rely on it for mission-critical records during beta. Beta access may be modified or withdrawn at any time.

1Who may use Orbit

You must be at least 18 and able to form a binding contract. If you use Orbit for an organisation, you confirm you are authorised to bind it, and "you" includes that organisation.

2Accounts

You are responsible for your account, your login credentials, and all activity under it. Keep your password secure and tell us promptly of any unauthorised use.

3Your data and your responsibilities

Orbit is a CRM, so you will upload data about your contacts, members and contributors ("Customer Data"). You represent that you have the right to upload and process that data and to give us the instructions implied by your use. You are the controller of Customer Data and we are your processor, as described in our Privacy Policy. You are responsible for complying with all laws that apply to your use, including data protection, marketing, and communications laws.

4Acceptable use

You agree not to: break the law; infringe others' rights; send spam or unlawful messages; upload malware; probe, overload or reverse-engineer the service; resell it without permission; or use it to harm others. We may suspend accounts that breach these Terms.

5AI features

Orbit includes AI features that generate text, enrichment, summaries and suggestions. AI output can be wrong, incomplete or biased. You are responsible for reviewing output before you rely on or send it. AI features are part of the beta and may change.

6Payment, subscriptions and AI credits

7Rewards, quests and credits

Orbit lets you run quests and reward contributors. In the current beta, quest rewards take the form of Orbit credits (also called tokens) that are used within the software. These credits:

They are a reward mechanic inside the product, nothing more.

If external token payouts are enabled. If we make available, and you choose to use, a feature that sends tokens to external wallets or otherwise distributes anything of value outside Orbit, then you are solely responsible for the legal, tax, securities, sanctions and anti-money-laundering treatment of what you distribute in every relevant jurisdiction, and for any obligations to your contributors. Orbit is a software tool only; we do not issue, sell, custody, value, or guarantee any external token, and nothing in Orbit is financial, investment, legal or tax advice.

8Intellectual property

We and our licensors own Orbit, its software, brand and content. We grant you a limited, non-exclusive, non-transferable right to use Orbit during your subscription. You keep all rights in your Customer Data. You grant us the limited licence needed to host and process it to provide the service.

9Third-party integrations

Orbit connects to third-party services (Stripe, Google, Microsoft, Slack and others) at your choice. Their own terms and privacy policies govern their services, and we are not responsible for them.

10Disclaimers

To the fullest extent permitted by law, Orbit is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that data will never be lost, and this is especially so during beta.

11Limitation of liability

To the fullest extent permitted by law, the Ministry will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to Orbit is limited to the greater of the amounts you paid us in the three months before the claim, or USD 100. Some jurisdictions do not allow certain limits, so parts of this may not apply to you.

12Indemnity

You agree to indemnify the Ministry against claims arising from your Customer Data, your use of quest or reward features, or your breach of these Terms or of law.

13Suspension and termination

You may stop using Orbit and cancel at any time. We may suspend or terminate access for breach, legal reasons, or to protect the service or other users. On termination you may export your data for a reasonable period, after which we may delete it.

14Governing law

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws rules. The state and federal courts located in Washington have exclusive jurisdiction, unless mandatory local law gives you other rights.

15Changes

We may update these Terms. Material changes will be notified in-product or by email. Continuing to use Orbit after changes take effect means you accept them.
